Service Agreement
As of July 1, 2025

This agreement is entered into between Menum GmbH, Bächigenstrasse 18, 9212 Arnegg, Switzerland (hereinafter referred to as the “Service Provider”), and the Client (hereinafter referred to as the “Client”) as follows:

1. Subject of the Agreement
The Service Provider undertakes to carry out facility management services for the Client’s property in accordance with the requirements and standards specified in the separate scope of services document. The exact range of services shall be defined in the document mutually agreed upon by both parties.

2. Duration of the Agreement
This agreement enters into force on [Start Date] and is concluded for an indefinite period. It may be terminated by either party with three months’ written notice.

3. Obligations of the Service Provider
The Service Provider undertakes to perform facility management services in accordance with the requirements set out in the “Facility Management and Maintenance Scope of Services.” These services include, among others:

• Regular cleaning, maintenance, and servicing of the property

• Execution of specific tasks as agreed between the contracting parties

4. Cost Agreement
The costs were agreed upon based on the quotation generated using the configurator available on the website.

5. Payment Terms
The Service Provider shall issue an invoice to the Client at the beginning of each month for services provided in the previous month. Payment is due within ten (10) calendar days from the invoice date, without deductions. For larger assignments, a separate agreement on advance payment may be concluded.

6. Liability / Disclaimer
Menum GmbH holds a business liability insurance of CHF 5,000,000. In case of damages, Menum GmbH is liable up to the insured amount. For damages not covered by the insurance, Menum GmbH shall only be liable up to a maximum of CHF 500 including VAT.

7. Confidentiality
Both parties agree to treat all confidential information obtained in connection with this agreement as strictly confidential and not to disclose such information to third parties.

8. Use of Personnel
The Service Provider reserves the right to employ qualified personnel to perform the facility management services.

9. Amendments to the Agreement
Any changes or additions to this agreement must be made in writing and approved by both parties.

10. Jurisdiction
The exclusive place of jurisdiction for all disputes arising out of or in connection with this agreement shall be St. Gallen, Switzerland.

11. Severability Clause
Should any provision of this agreement be or become invalid, the validity of the remaining provisions shall not be affected. The parties agree to replace the invalid provision with a valid one that comes closest to the economic intent of the invalid provision.

12. Final Provisions
This agreement is governed exclusively by Swiss law. The place of jurisdiction for all disputes arising out of or in connection with this agreement is Arnegg, Switzerland. Any changes or amendments to this agreement must be made in writing.
